Terms and conditions

These Terms govern SOCLUB websites, membership, events, tickets, Marketplace goods and services, communications and related transactions. They include risk, release, liability and indemnity provisions that affect legal rights; non-waivable rights remain unaffected.

1. Parties and acceptance

These Terms and Conditions are an agreement between you and SOCLUB Group Inc. and apply to soclubgroup.com, related applications, memberships, tickets, events, communications, Marketplace activity, content and related services.

By creating an account, requesting or purchasing a membership, submitting a request, sending a message, purchasing or accepting a ticket, ordering a product, accepting a quote, booking a service, attending an event or otherwise using the Services, you confirm that you have read and accepted these Terms and the Privacy Policy. If you act for an organization, you represent that you may bind it.

2. Eligibility and accounts

You must be legally capable of entering an agreement. Event-specific age restrictions remain in effect. You must provide accurate information, protect account access and promptly report suspected compromise.

Browsing public pages does not require membership. A verified free SOCLUB membership and current legal acceptance are required before any request, platform message, event-ticket purchase, Marketplace quote, service booking or product purchase. Profile completion is optional after verification, and each submission or transaction is recorded in the authenticated member portal.

3. Memberships and transaction access

Free and paid membership benefits may vary by tier, event, availability, capacity, location and partner terms. Paid, Founding or limited memberships require SOCLUB approval and do not guarantee tickets, introductions, opportunities, results or access to any person.

Membership is personal and revocable. Membership does not create employment, partnership, agency, fiduciary duty or a guarantee. Marketing consent is separate from essential account, transaction, ticket, safety and event communications.

4. Events, organizers, tickets and entry

Every event listing must identify the responsible organizer. A SOCLUB Original is produced by SOCLUB. A SOCLUB Select is produced by the named independent organizer and reviewed, promoted or ticketed through SOCLUB. An independent organizer remains responsible for delivery, venue, permits, insurance, accessibility, programming, support, cancellation and lawful refund obligations.

Tickets are revocable licences to attend the identified event. They remain subject to verified membership, availability, successful payment, purchase limits, transfer rules, capacity, identity or age verification, venue requirements and event-specific terms displayed before purchase.

Tickets may not be duplicated, fraudulently obtained, resold for profit or transferred outside an authorized process. Event details may change. Refunds or credits are governed by the terms displayed at purchase and mandatory law.

5. Conduct, safety and accessibility

Users and attendees must follow lawful staff and venue directions. Harassment, discrimination, threats, violence, dangerous conduct, illegal drugs, weapons, fraud, property damage, disruptive intoxication, unauthorized solicitation and interference with an event or service are prohibited.

SOCLUB welcomes accommodation requests and will assess them in good faith with venues and suppliers. Submit requests as early as reasonably possible. See the Accessibility Statement.

6. Assumption of inherent risk

To the fullest extent permitted by law, attendees voluntarily accept risks ordinarily associated with social and live events, including crowds, sound, lighting, stairs, dance floors, food and beverage service, alcohol, weather, travel, illness, third-party conduct, slips, falls and loss or theft of property. This does not waive a duty or liability that applicable law does not permit us to exclude.

7. Release and limitation of liability

To the maximum extent permitted by law, SOCLUB and its personnel, venues, partners and suppliers are not liable for indirect, incidental, special, punitive or consequential loss, lost profit, opportunity, goodwill, data or business arising from the Services.

Where liability may lawfully be limited, SOCLUB's aggregate liability relating to a specific paid Service will not exceed the amount paid to SOCLUB for that Service during the twelve months before the event giving rise to the claim. These limits do not apply to fraud, wilful misconduct, non-excludable personal-injury liability or another non-waivable statutory duty.

8. User content and member interactions

Users retain ownership of submitted content and grant SOCLUB a non-exclusive licence to host, format, display and use it as reasonably needed to operate, secure, moderate and promote the Services, subject to privacy settings and the Privacy Policy.

SOCLUB does not verify every member statement, opportunity or introduction. Users must exercise judgment, protect confidential information and use appropriate written agreements for business dealings.

9. Marketplace structure and vendor approval

The Marketplace has two distinct areas. Services is a curated directory of independent vendors organized by category, with no more than three approved vendors per category. Products is a separate commerce area for physical goods, initially including official SOCLUB products.

Members cannot designate themselves as vendors or activate a vendor portal. Anyone may submit a vendor request, but only SOCLUB administrators may review, approve, provision, suspend or activate vendor access, listings and payouts.

Unless a listing expressly identifies SOCLUB as the seller or provider, the named seller or vendor is an independent business responsible for its goods, services, personnel, licences, insurance, taxes, warranties, fulfilment and compliance.

10. Goods, merchandise, shipping and returns

A product order is accepted only when checkout confirms the seller, item, quantity, price, mandatory fees, applicable tax, delivery method and total. Availability errors may require cancellation and refund.

The listing or checkout must identify fulfilment timing, shipping charges, delivery restrictions, return eligibility, return window, return-shipping responsibility and lawful final-sale exclusions. Buyers must promptly report missing, damaged, defective, counterfeit or materially misdescribed goods through SOCLUB.

11. Services, requests, quotes and bookings

A service request is not a booking. A quote becomes binding only when accepted through SOCLUB and required payment succeeds. Users must review scope, exclusions, schedule, location, personnel, materials, price, tax, deposit, cancellation, change-order and completion terms.

Vendors remain responsible for their work, personnel, subcontractors, permits, licences, insurance, safety, payroll, taxes and performance. Material changes must be recorded in the platform. SOCLUB may facilitate communication or disputes but does not guarantee either party's performance.

12. Payments, fees, taxes, payouts and refunds

The complete payable price, including mandatory fees and applicable tax, is displayed before payment authorization. Stripe handles secure payment credentials; SOCLUB does not store full card numbers or security codes.

SOCLUB may charge disclosed buyer, seller or organizer fees. Seller or organizer proceeds may be reduced by agreed commissions, payment costs, taxes, refunds, chargebacks, reserves or other authorized adjustments. Payouts may be delayed while funds are unsettled, disputed, under review or legally restricted.

Event-, product- and service-specific cancellation and refund terms displayed before purchase form part of the agreement. Mandatory consumer rights remain unaffected.

13. Messages, reviews and acceptable use

Material Marketplace communications, scope changes, quote versions and approvals must remain in the private platform conversation. Users may not post outside contact details or links to bypass SOCLUB. Notification emails alert recipients to sign in and do not include private message text.

Reviews must reflect genuine completed transactions and may not be purchased, coerced, manipulated or retaliatory. Users may not scrape, impersonate, defraud, reverse engineer, introduce malware, harvest data or interfere with security.

14. Intellectual property

The SOCLUB name, marks, designs, software, event concepts, photographs, editorial content and other materials are owned by or licensed to SOCLUB. Except for personal non-commercial use, they may not be copied, sold, framed, reverse engineered or used without written permission.

15. Photography, recording and publicity

Events may be photographed, filmed or recorded for security, editorial, archival and promotional purposes with notice where appropriate. Contact staff before an event if you do not wish to be featured. Reasonable requests will be considered, but removal cannot be guaranteed from live streams, crowd scenes, third-party posts or records that must be retained.

16. Privacy and electronic communications

The Privacy Policy explains collection, use, disclosure, safeguards, retention and individual rights. Users consent to electronic contracting and essential communications needed to administer accounts, requests, payments, tickets, safety and event changes. Marketing requires separate consent.

17. Third-party services

Venues, organizers, sellers, vendors, payment processors, authentication providers, delivery services and linked websites may have separate terms and privacy practices. Unless expressly stated, they are independent parties. Nothing in these Terms limits responsibility where applicable law treats a party as SOCLUB's agent.

18. Suspension and termination

SOCLUB may refuse, limit, suspend or terminate access, listings, transactions, tickets or payouts for safety, fraud, misconduct, non-payment, breach, chargeback, sanctions, legal or operational risk, subject to applicable law. Provisions concerning records, ownership, payment, risk allocation, indemnity, liability and disputes survive where appropriate.

19. Force majeure and service availability

Services are provided on an as-available basis. SOCLUB does not promise uninterrupted access, error-free operation, specific attendance, introductions, commercial outcomes or continued availability of every feature.

SOCLUB is not responsible for delay or failure caused by events beyond reasonable control, including severe weather, fire, flood, epidemic, government action, labour disruption, utility or network failure, transportation disruption, venue closure or supplier failure. Non-waivable refund rights remain unaffected.

20. Indemnity

To the fullest extent permitted by law, a user will indemnify SOCLUB from third-party claims, losses and reasonable legal costs arising from that user's unlawful conduct, material breach, infringement, misuse, damage or submitted content. Vendors also remain responsible for claims arising from their services, workers, taxes, permits, products and failure to perform. This does not shift SOCLUB's own non-excludable liability.

21. Ontario law and disputes

Before starting a claim, contact SOCLUB with the account email, order or booking reference and a concise description so the parties can attempt informal resolution. These Terms are governed by Ontario law and applicable federal Canadian law. Subject to mandatory consumer forum rights, courts located in Toronto, Ontario have exclusive jurisdiction.

22. General terms, changes and contact

If a provision is invalid, it will be narrowed or severed to the minimum extent necessary. Failure to enforce is not a waiver. These Terms, the Privacy Policy and any offer, event rule, listing, quote or checkout policy incorporated at purchase form the agreement for the relevant Service.

SOCLUB may update these Terms prospectively. Material changes will be identified and renewed acceptance requested where required. Questions or legal notices may be submitted through Contact Us or sent to info@soclubgroup.com.
